2. Functions of Head of Organization / CEO:

 

2.1 The overall management authority of the organization, in relation to any natural or legal person, shall be exercised unilaterally by the head of the organization, who is represented as a founder, a person declared a trustee by the founder;

2.2 The head of the organization is the person appointed for the life of the organization, which creates the administrative office of the organization, a body of alternate members whose term of office is not defined and regulated by the organization's regulations and internal regulations.

 

2.3 The functions of the head of organization / CEO are:

  • directs the organization's activities to achieve the goals set forth in the statute;
  • Coordinates the activities of the administrative office;
  • Uniquely represents the organization in its relations with third parties;
  • discuss with the administrative cabinet a proposal to join a coalition set up for the specific purpose of the organization;
  • Oversees the management of the organization's financial resources and other tangible assets; Manages the organization's financial and material resources and is responsible for their proper use, signs relevant official and financial documentation;
  • Approves the projects to be implemented;
  • conducts negotiations, concludes contracts, signs documents on behalf of the organization;
  • Signs all official documents of the organization;
  • Approves the organizational structure of the organization;
  • Performs other functions assigned to it by the statute.
  • Creates a cabinet;
  • Approves the organization's strategic development plan and budgetary parameters;
  • approves the organization's budget;
  • Elects / approves cabinet member;
  • Approves the organization's internal regulations, statutes, guidelines;
  • Decides on the establishment of a legal entity;
  • listens to any employee of the organization, program / project manager (s), organization-based legal person (s), organization (s) report (s) if needed;
  • Resolves the issue of suspending or terminating the authority of a member of the Administrative Cabinet;
  • Elects the organization's administrative office, listens to the quarterly / annual report of its activities;
  • Decides on transferring the logo, seal and other attributes of the organization to third parties;
  • is entitled to cancel the decision of the administrative office of the organization if it is contrary to the goals and objectives of the organization;
  • Decides on reorganization / liquidation of the organization;
  • Appoints and dismisses employees of the organization;
  • Approves job descriptions with employees derived from organizational performance;
     

2.4 The head of the organization manages and defines the activities of the organization

Decides on reorganization / liquidation of the organization, raises the issue of cabinet assembly and direct balloting as needed;

2.5 In case of absence / failure to perform duties the head of organization, his / her authority shall be exercised by a member of the Cabinet upon the instruction of the head of organization;

2.6 The head of the organization creates the administrative cabinet, and approves the structure of the organization..

2.7 of the meeting of the administrative cabinet. In accordance with the needs of the organization, the meeting is held when at least 2/3 of the members of cabinet are present, whose meetings are chaired by the head / CEO of the organization. Or a member of the Cabinet upon his order.

3. Cabinet - Advisory Board of Directors

3.1 Organization Head creates a cabinet (team) that is the advisory body of the supervisor to ensure the organization's activity, continuity, engagement and sustainability.

3.2 Cabinet is being set by Head of Organization / CEO The head of the organization (team) consists of:

1. Directorate of Central Office

2. The Directorate of Regional Offices, which provides implementation of goals and conducting strategies defined by the charter of organization

3.3 The Cabinet of Directors (Directorate of Central Office and Directorate of Regional Offices) presents the organization's strategic development plan, budget parameters and next year's budget to the head of organization;


3.4 Cabinet (team) performance, periodicity of meetings, responsibilities and accountability are determined by the organization's regulatory and internal regulations.
3.5 The Board of Directors provides for the organization, control of the organizational activities of the offices (central and regional) within the approved strategic plan and budget.

 

Based on the Charter of the Organization - in accordance with Article 6
 

  1. Extended Board of Organization
    1. An expanded board is created:
    • 1 (one) delegate represented by member organizations;
    • Independent field specialists represented by regional offices (1 field specialist from one region)
    • At least 10 representatives from the cabinet members;
    • Specialists and experts in the field (decision on the area to be taken depends on the issues to be considered)
    • invited education experts;
       

4.2  The Extended Board is the body responsible for developing / reviewing nursing standards, educational programs, nursing guidelines and protocols, and submitting / reporting the final format document to the organization's office for further approval;
 

4.3  The Extended Board is the body that also makes decisions on the matter raised by the majority of the organization's head and / or cabinet, by direct ballot, to achieve the goals and objectives of the organization;
 

4.4  The enlarged board of the organization is not a governing body, therefore it does not make decisions on strategic changes;

Article 7 Based on the Charter of the Organization

  1. Members of the organization “Union of Nurses”

5.1    Membership Conditions for Organizations:

    • The organization carries out nursing activities and is focused on the development of the profession;
    • Cooperates actively with other sectoral associations;
    • Has and / or does not have members, as required by the statute;
    • It is the decision of the governing body / entity to register membership;
    • provide membership information for membership registration;
    • represents one or two members of the organization who will be a delegate to the Nursing Association and a representative / member of the Joint Council;

5.2  The membership fee is determined by the activities of the organizations, service packages developed in accordance with membership dividends, and the registration process is governed by the organization's regulations and internal regulations;

5.3  Responsibilities of the member organization:

    • Active collaboration with the Nurses Association and development / promotion of common standards;
    • Proper implementation of jointly developed standards and educational programs;
    • Consideration of the basic strategy of the Nursing Association and active cooperation in this area;
    • Payment of membership fee in accordance with established rules;
    • Promoting sound and effective integration of member organizations and global integration is a key priority of our association, and therefore the work of member organizations is required to focus on promoting international standards and developing the profession;
       

5.4  Membership is canceled when:

    • on the basis of a decision and official application of the governing body of a member organization;
    • The member organization does not pay membership dues;
    • The activities of the member organization are contrary to the goals and objectives of the Nursing Association;
    • The member organization is not engaged in activities and is not involved in the professional development processes, including the development of the organization itself;
    • The issue of expulsion from a member organization, a nursing union, is raised by the head of the union and discussed at a joint board meeting, the rule being governed by the rules of association of the nursing union.
       

5.5    Member Organization Rights:
 

    • The member organization is free in all its activities;
    • Develop / manage projects independently based on the goals and objectives of the organization;
    • independently conducts cognitive / research and scientific activities in the field of nursing, in accordance with jointly developed standards;
    • Engages independently in international activities;
    • Participates by presenting 1 or 2 delegates present at the enlarged Board meetings;
    • Request / receive information on changes from the Union of Nurses at all stages of the Nursing Professional Development;
    • benefit from all membership dividends and, where appropriate, request / receive additional support for the development of their organization within the scope of nursing activities;
    • Participate in all cognitive / informational and scientific conferences held under local / international auspices - in accordance with the Regulations and Rules of Procedure - within the membership fee package;
       
  1. Field Sector of Organization, Structural Unit of Organization:
     
    • Develops and executes professional development, national and international projects to achieve the main goals and objectives of the Nursing / Midwives Association;
    • Provides services in Georgian and English languages;
    • Members of the sector are involved in the implementation of the Nurses' Strategic Plan, with membership dividends and activities;
       

7.  Member Nurses & Midwives, Conditions:

7.1 Membership Conditions for Nurses and Midwives in the Nursing Sector:

  • Nurses / midwives participate in professional activities and are focused on developing their professional skills;
  • is an active practitioner or nurse / midwife leader in the clinic;
  • is a third year student of the Faculty of Medicine and a second year student of the 5th level of the professional college;
  • A certificate of employment (or school) and / or professional diploma for membership in the organization;
     

7.2   Membership fees are set by activity packages, membership dividends, and the registration process is governed by the organization's rules and regulations;
 

7.3  Responsibilities of Member Nurses / Midwives:

    • Active collaboration with members and involvement in developing / promoting standards, as defined by the organization's regulatory and internal regulations;
    • Participation in the implementation of standards and educational programs developed in the organization according to the organization's internal regulations;
    • Considering the basic strategy of the Nursing / Midwives Association and active cooperation in this area;
    • Payment of membership fee in accordance with established rules;
    • Continuous professional development of member nurses / midwives and implementation of best nursing practices in clinics, in line with the organisation's core priorities The activities of member nurses / midwives should be focused on promoting international standards and developing the profession;
       

7.4  Nurses and midwives are excluded from membership:

    • Based on the member's personal statement;
    • Member nurse / midwife does not pay membership dues;
    • Activities of a member nurse / midwife are contrary to the goals and objectives of the association;
    • Member Nurses / Midwives are not engaged in activities and are not involved in professional development processes;
    • The issue of dismissal of a member nurse, from the membership of the association is raised by the administrative cabinet and the decision is made by the head of the organization;
       

7.5    Member Nurse / Midwife Rights:

    • Develop / submit projects independently and coordinate project implementation according to the organization's goals and objectives;
    • Engages in cognitive / research and scientific activities in the field of nursing / midwifery activities;
    • Participates in conferences according to a selected and registered membership package;
    • Can request / receive information about changes in the Nursing / Midwives professional development from the Association; Benefit from all membership dividends and, where appropriate, request / receive additional support for nursing / midwifery activities as part of their professional development;
    • Participate in all cognitive / informational and scientific conferences held under local / international auspices - in accordance with the rules of procedure - within the membership fee package registered under the membership fee;
